Delivery Company Agreement
This Delivery Company Agreement ("Agreement") is entered into by and between Raven Portal LLC, doing business as Raven Logistics ("Company," "we," "us," or "our"), a company registered in Dubai, United Arab Emirates, and the delivery company identified in the onboarding application ("Delivery Company," "you," or "your"). This Agreement sets forth the comprehensive terms and conditions under which you may access and use the Raven Logistics platform to provide delivery services to users.
1. Introduction
1.1 Overview: Raven Logistics is a leading platform designed to connect users with delivery companies to facilitate efficient, reliable, and high-quality delivery services. This Agreement governs your relationship with Raven Logistics and outlines the obligations, responsibilities, and expectations for both parties.
1.2 Acceptance: By signing this Agreement and using our platform, you acknowledge that you have read, understood, and agree to comply with all the terms and conditions set forth herein.
2. Onboarding Process
2.1 Application Submission: To become a Delivery Company on Raven Logistics, you must complete and submit an onboarding application through our platform, providing all required information and documentation. This includes, but is not limited to, your company registration details, bank account information, proof of insurance, and any other documents as requested.
2.2 Application Review: Upon receiving your application, Raven Logistics will conduct a thorough review of the provided details. This review process includes verifying your legal standing, evaluating your operational capabilities, and assessing your compliance with applicable laws and industry standards.
2.3 Approval and Onboarding: If your application meets our criteria, you will be approved and onboarded as a Delivery Company on the Raven Logistics platform. You will receive a confirmation email with your account details and instructions for accessing and using the platform. Please note that Raven Logistics reserves the right to deny any application that does not meet our standards or requirements.
3. Orders and Payment
3.1 Order Acceptance: Upon receiving an order request through the Raven Logistics platform, you are required to promptly accept or decline the order. Timely response to order requests is crucial for maintaining service efficiency and client satisfaction. Failure to respond to multiple order requests in a timely manner may result in account suspension or other penalties.
3.2 Commission: Raven Logistics will charge a commission of 25-30% on every order processed through our platform. The exact percentage will be specified in your onboarding confirmation. This commission is deducted from the total order amount before disbursement to you.
3.3 Payment Processing: All payments for orders will be securely processed through Stripe, our designated payment processor. You must provide accurate and up-to-date bank account details to receive payments. Raven Logistics will not be responsible for any delays or issues arising from incorrect or outdated bank account information provided by you.
3.4 Disbursement of Funds: Raven Logistics will disburse the net amount (total order amount minus the commission) to your bank account on a fixed date each month. You will receive a detailed statement outlining the orders completed, the commission deducted, and the total amount disbursed.
3.5 Chargebacks: A chargeback is a reversal of a credit card transaction initiated by the cardholder's bank. Chargebacks can occur for various reasons, including but not limited to disputes over the quality of goods or services, unauthorized transactions, or failure to deliver the promised service. In the event of a chargeback, the amount of the disputed transaction is withdrawn from our account and returned to the cardholder.
Chargeback Responsibility:
- Delivery Company Liability: As a Delivery Company on the Raven Logistics platform, you are responsible for any chargebacks related to your orders. This means that if a chargeback is initiated for a transaction involving your services, you will be liable for the chargeback amount, including any associated fees.
- Deduction from Future Payouts: Raven Logistics reserves the right to deduct the chargeback amount and any associated fees from your future payouts. If future payouts are insufficient to cover the chargeback, you agree to reimburse Raven Logistics directly for the outstanding amount.
- Cooperation: You agree to cooperate fully with Raven Logistics in investigating and resolving chargeback disputes. This includes providing any requested documentation or information to support the legitimacy of the transaction. Failure to cooperate may result in suspension or termination of your account.
- Chargeback Disputes: If you believe a chargeback is unwarranted, you may dispute it through the process provided by Stripe, our payment processor. However, the ultimate decision regarding the chargeback will rest with the cardholder’s bank.
4. Delivery Company Obligations
4.1 Active Participation: You are expected to remain active on the platform by regularly accepting and fulfilling orders. If you are inactive for an extended period or fail to respond to client inquiries, your account may be suspended or terminated. Active participation is essential for maintaining the reliability and efficiency of our platform.
4.2 Responsibility for Damages: You are solely responsible for any damages, losses, or issues that occur to items during the delivery process. You agree to indemnify and hold Raven Logistics harmless from any claims arising from such incidents. This includes any legal fees and costs incurred by Raven Logistics in defending against such claims.
4.3 Compliance with Laws: You must comply with all applicable local, national, and international laws and regulations governing delivery services, including but not limited to safety, labor, and transportation laws. You agree to maintain all necessary licenses, permits, and insurance required for your operations.
4.4 Quality of Service: You agree to provide high-quality delivery services and maintain a professional demeanor at all times. This includes adhering to delivery schedules, ensuring the safety and security of items, and providing excellent customer service. Failure to meet the quality standards set by Raven Logistics may result in account suspension or termination.
5. Recommendations and Dispute Resolution
5.1 Service Recommendations: Raven Logistics may recommend delivery companies to clients based on factors such as parcel size, location, price, and delivery performance. These recommendations are designed to enhance the client experience and ensure efficient delivery service.
5.2 Dispute Handling: While Raven Logistics encourages delivery companies to handle disputes directly with clients, in cases where a resolution cannot be reached, Raven Logistics will intervene. Our decision in such disputes will be final and binding on both parties.
6. Suspension and Termination
6.1 Account Suspension: Raven Logistics reserves the right to suspend your account if you are inactive for an extended period, fail to respond to client inquiries, or violate any terms of this Agreement. Suspension may also occur if you receive multiple complaints regarding service quality or non-compliance with applicable laws.
6.2 Account Termination: This Agreement may be terminated by either party with 30 days' written notice. Raven Logistics may terminate your account immediately if you engage in fraudulent activities, violate applicable laws, or fail to comply with this Agreement. Upon termination, you must cease all use of the Raven Logistics platform and return any property belonging to Raven Logistics.
7. Limitation of Liability
7.1 Platform Liability: Raven Logistics provides the platform "as is" and "as available" without any warranties, express or implied. We do not guarantee the availability, accuracy, or reliability of the platform. To the fullest extent permitted by law, Raven Logistics disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.2 Delivery Company Responsibility: You are solely responsible for the delivery services you provide. Raven Logistics is not liable for any damages, losses, or issues arising from your delivery services. This includes any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, or use, incurred by you or any third party.
7.3 Indemnification: You agree to indemnify, defend, and hold harmless Raven Logistics, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including but not limited to legal fees and costs, arising out of or in any way connected with your use of the platform, your violation of these terms, or your violation of any rights of another.
8. General Provisions
8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.
8.2 Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved in accordance with the dispute resolution process outlined in our Terms of Service. This includes initial negotiation, followed by arbitration, if necessary, with arbitration taking place in Dubai, United Arab Emirates.
8.3 Amendments: Raven Logistics reserves the right to amend this Agreement at any time. Any amendments will be effective upon posting on our platform. Your continued use of the platform constitutes your acceptance of the amended terms.
8.4 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations, whether oral or written.
